In re Guidant S’holders Derivative Litig.

Answering a certified question from a federal court, the Supreme Court of Indiana unanimously held that a pre-suit demand in a derivative action is excused if the demand would be a futile gesture. The court adopted a “demand futility” standard and rejected the defendants’ call for a “universal demand” standard that might have immediately ended the case.
