Settlement of Sybase Shareholder LitigationOn May 20, 2011, the Superior Court of the State of California, County of Alameda, granted preliminary approval of a settlement of class action litigation arising out of the acquisition of Sybase, Inc. (“Sybase”) by SAP America, Inc., a subsidiary of SAP AG (“Acquisition”). The settlement resolves several lawsuits arising out of the Acquisition that alleged, among other things, that the terms of the Acquisition were unfair and the result of an unfair process, and that the information disclosed to Sybase shareholders was insufficient. The settlement affects the rights of persons who held Sybase common stock between May 12, 2010 and July 29, 2010, the date of the closing of the Acquisition (“Class”). For detailed information about the settlement, the Stipulation of Settlement dated as of November 12, 2010, which sets forth the terms of the settlement, and the Notice of Settlement of Class Action, which sets forth a detailed summary of the settlement as well as Class members’ rights regarding the settlement, can be downloaded below.
